Miller Thomson’s Information Technology Group has extensive experience helping a variety of clients with matters involving the acquisition and provision of network and other telecommunications services.

Our Services

Our lawyers assist and advise clients on transactional, day-to-day and one-off issues arising in network and other telecommunications services. Typical types of transactions include the acquisition of telecommunications circuits, wireless services, network monitoring services, network security services, hosting and collocation services and traditional and voice-over-IP telephone systems. Group members have also advised various suppliers on these types of transactions.

Our lawyers have also advised clients in relation to: i) the development of acceptable use policies; ii) the development of standard form agreements for the provision of network and hosting services; iii) claims relating to hosted content including claims of copyright infringement and defamation; and v) assisting with domain name issues.

Our Experience

• Assisting the provincial government in preparing RFPs and template agreements, negotiating agreements, technical schedules and amendments, and advising on ongoing issues arising under the agreements in connection with the acquisition of network services for use by the government
• Helping a government agency with the preparation, negotiation and finalization of a multi-year agreement with a wholly owned subsidiary of a publicly owned electricity transmission and distribution company for network services;
• Negotiating multi-million hosting and collocation agreements for various clients
• Assisting a government agency with the preparation, negotiation and finalization of a multi-year agreement for the supply of network services to remote areas in Ontario
• Supportng a government agency in the renegotiation of its services agreement with its hosting provider
• Assisting a government agency with the negotiation and drafting relating to a tri-party agreement which included the provision by the agency of network services in relation to a CMS system
• Assisting with various RFPs and agreements to support public sector and broader public sector entities to procure hosting, network and network management services;
• Providing advice to a government agency on many procurement projects including the procurement of goods and services to support the development of the infrastructure facilities required to establish an integrated network
• Developing standard form agreements for an international network service provider including its agreements for network services and hosting
• Negotiating network services agreement and hosting agreements for a national Internet service provider
• Assisting a telecommunications hardware manufacturer with various transactions
• Assisting a municipality in connection with the purchase of a new voice-over-IP telephone system and related services (including assisting in the preparation of the agreement and statements of work)
• Helping a municipality with the preparation of an RFP for the acquisition of wireless telephone and data services and negotiating the resulting agreement;
• Assisting various Ministries in all aspects of a long-term arrangement for the supply of mobile telecommunications services
• Advising regional, national and international Internet service providers
