July 12, 2022

On July 12, 2022, 123Dentist, Altima Dental Canada, Inc. (“Altima Dental”) and Lapointe Group, Altima’s Québec division, completed a strategic merger to create one of the largest dental support organizations in Canada, with nearly 350 supported dental practices.

The transaction is being financed through private equity fund Peloton Capital Management (“Peloton”), an existing financial partner of 123Dentist, and new investors, New York-based KKR & Co. Inc. (“KKR”), Heartland Dental, a U.S. dental support company, and New York-based Sentinel Capital Partners, which is Altima’s existing financial partner (collectively, the “Investors”).

As a result of the transaction, the combined business will have a national footprint and support dental practices that provide a wide range of dental care to more than 800,000 Canadian patients, with over 2.5 million patient visits annually.

123Dentist is a leading dental support organization in Canada. It has grown from a single practice in Vancouver, owned by CEO Dr. Amin Shivji and two partners, to more than 250 supported practices and 3,500 team members.

Miller Thomson LLP acted as corporate counsel to 123Dentist on the Investors’ equity investment with a team led by Adam Kline, and comprised of Adam Bata, Brandon Meyer, Andrew Gunpat, Mark Milanetti, and Ghazal Hamedani (Corporate/M&A); Ron Choudhury (Tax); Eric Dufour (Competition); Paulina Dominiak and Linda Spina (Law Clerks); as well as Andrea Chiu, Connor Broude, Wendy Wang, Harrison Tepsich and Amanjot Saral (Students).
