Overview
Bryan Millman has a practice aimed at providing practical legal advice to the tax-exempt sector. Registered charities, not-for-profit organizations, professional bodies and other tax-exempt entities rely on his advice to fulfill their respective missions.
Bryan assists his clients on a wide variety of matters that include charitable registration, governance, corporate structuring and restructuring, social enterprise, regulatory compliance, fundraising and tax. In addition, Bryan counsels donors on philanthropic planning by advising on the implementation of charitable gifts.
Bryan has assisted clients on various matters, including:
- Supporting organizations in navigating the process to become, and maintain their status as, registered charities
- Assisting high-net-worth individuals structure their donations to registered charities
- Drafting or revising governance documents, bylaws, resolutions, related policies for registered charities and non-profit organizations
- Advising charities operating outside Canada on how to properly structure their relationships and service delivery
- Working with charitable organizations to create “parallel” foundations
- Helping not-for-profits with complementary purposes and activities merge their staff and operations into a single, more efficient organization
- Assisting charities with business activities to “spin” the business out into a wholly owned subsidiary company
Bryan is a member of the Canadian Bar Association’s Charity and Not-for-Profit Law Executive and a past Chair of the Canadian Bar Association, British Columbia Charities and Not-for-Profit Law Subsection Executive. Bryan is also a Co-Chair of the Canadian Bar Association’s 2024 Charity Law Symposium.
Bryan is an avid supporter of animal welfare organizations and his local Jewish community.
