Mack is a corporate transactional lawyer in the firm’s Toronto office and the Leader of the Firm’s International Mining Practice. His practice focuses on corporate finance and mergers and acquisitions, as well as providing advice on corporate governance matters. He acts for clients across a range of industries, with an emphasis on mining, as well as technology and financial services. Mack frequently acts for public companies and investment dealers on public and private offerings of stock, debt securities and structured products. He also provides strategic advice to companies on going-public transactions, including by way of initial public offerings, reverse takeovers and cross-border listings. He has extensive experience advising acquirers, target companies, shareholders, boards of directors and special committees on public mergers and acquisition transactions. Mack routinely advises management, boards of directors and special committees of both public and private companies on corporate governance matters, including directors’ duties, hostile takeovers and defensive tactics, strategic review processes, special investigations and securities regulatory matters. Further, Mack has knowledge and experience in helping clients launch and raise capital for new business ventures, offering a business-first approach to establish dispute-free operational structures that achieve the client’s ultimate goal, be it going-public, sale or long-term organic growth.
